To v\u0161e zodpov\u011bd\u011bl Nejvy\u0161\u0161\u00ed soud v ned\u00e1vn\u00e9m rozhodnut\u00ed. <\/strong><\/p>\n\n<h2 class=\"wp-block-heading\"><strong>Z\u00e1kaznick\u00e1 z\u00e1kladna a jej\u00ed vymezen\u00ed<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Nejvy\u0161\u0161\u00ed soud se poprv\u00e9 v\u00fdslovn\u011b zab\u00fdval ot\u00e1zkou, zda podn\u00e1jemci, jim\u017e n\u00e1jemce pronajal prostory slou\u017e\u00edc\u00ed podnik\u00e1n\u00ed, mohou tvo\u0159it z\u00e1kaznickou z\u00e1kladnu ve smyslu \u00a7 2315 ob\u010dansk\u00e9ho z\u00e1kon\u00edku a p\u016fvodn\u00ed n\u00e1jemce m\u00e1 tud\u00ed\u017e <strong>n\u00e1rok na n\u00e1hradu za v\u00fdhodu, kterou pronaj\u00edmatel jej\u00edm p\u0159evzet\u00edm z\u00edsk\u00e1.<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Pojem z\u00e1kaznick\u00e9 z\u00e1kladny z\u00e1kon u\u017e\u00edv\u00e1, ale u\u017e jej nedefinuje. Nejvy\u0161\u0161\u00ed soud v souladu s odbornou literaturou dovodil, \u017ee se j\u00ed rozum\u00ed: <\/p>\n\n<p class=\"wp-block-paragraph\"><em><strong>\u201eskupina z\u00e1kazn\u00edk\u016f, kte\u0159\u00ed opakovan\u011b nakupuj\u00ed produkty nebo vyu\u017e\u00edvaj\u00ed slu\u017eby nab\u00edzen\u00e9 n\u00e1jemcem v pronajat\u00e9m prostoru p\u0159\u00edstupn\u00e9m z\u00e1kazn\u00edk\u016fm\u201c.<\/strong><\/em><\/p>\n\n<p class=\"wp-block-paragraph\">Hlavn\u00edm pojmov\u00fdm znakem je <strong>pravidelnost<\/strong> \u2013 z\u00e1kaznick\u00e1 z\u00e1kladna p\u0159edstavuje stabiln\u00ed p\u0159\u00edjem pr\u00e1v\u011b proto, \u017ee se z\u00e1kazn\u00edci opakovan\u011b vracej\u00ed a n\u00e1klady na jejich udr\u017een\u00ed jsou ni\u017e\u0161\u00ed ne\u017e n\u00e1klady na z\u00edskan\u00fdch nov\u00fdch z\u00e1kazn\u00edk\u016f. Vybudov\u00e1n\u00ed z\u00e1kaznick\u00e9 z\u00e1klady tak nep\u0159ipad\u00e1 v \u00favahu u kr\u00e1tkodob\u00fdch n\u00e1jm\u016f. <\/p>\n\n<h2 class=\"wp-block-heading\"><strong>Vazba na pronajat\u00fd prostor<\/strong><\/h2>\n\n<p class=\"wp-block-paragraph\">Z\u00e1kaznick\u00e1 z\u00e1kladna se <strong>poj\u00ed v\u00fdlu\u010dn\u011b s podnik\u00e1n\u00edm n\u00e1jemce provozovan\u00fdm v pronajat\u00e9m prostoru<\/strong>, nikoli s osobou n\u00e1jemce (advok\u00e1ti, l\u00e9ka\u0159i).<\/p>\n\n<p class=\"wp-block-paragraph\">Pronajat\u00fd prostor mus\u00ed:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>b\u00fdt <strong>p\u0159\u00edstupn\u00fd<\/strong> z\u00e1kazn\u00edk\u016fm, a\u0165 u\u017e \u0161irok\u00e9 ve\u0159ejnosti (restaurace, kav\u00e1rny), nebo u\u017e\u0161\u00edmu okruhu (fitness centra s povinn\u00fdm \u010dlenstv\u00edm); a<\/li>\n\n\n\n<li>umo\u017e\u0148ovat kontakt se z\u00e1kazn\u00edky \u2013 k vybudov\u00e1n\u00ed z\u00e1kaznick\u00e9 z\u00e1kladny nedojde, pokud ke kontaktu nedoch\u00e1z\u00ed v\u016fbec nebo jen p\u0159\u00edle\u017eitostn\u011b (eshopy, kancel\u00e1\u0159e, sklady).<\/li>\n<\/ul>\n\n<h3 class=\"wp-block-heading\"><strong>Nejvy\u0161\u0161\u00ed soud: Podn\u00e1jemci netvo\u0159\u00ed z\u00e1kaznickou z\u00e1kladnu<\/strong><\/h3>\n\n<p class=\"wp-block-paragraph\">Nejvy\u0161\u0161\u00ed soud po vymezen\u00ed z\u00e1kaznick\u00e9 z\u00e1kladny uzav\u0159el, \u017ee podn\u00e1jemce, jemu\u017e n\u00e1jemce podnajal prostory slou\u017e\u00edc\u00ed k podnik\u00e1n\u00ed, nen\u00ed z\u00e1kazn\u00edkem, a tud\u00ed\u017e ani skupina takov\u00fdch podn\u00e1jemc\u016f nem\u016f\u017ee b\u00fdt pova\u017eov\u00e1na za z\u00e1kaznickou z\u00e1kladnu ve smyslu \u00a7 2315 ob\u010dansk\u00e9ho z\u00e1kon\u00edku. N\u00e1jemce, jeho\u017e \u010dinnost spo\u010d\u00edv\u00e1 v zaji\u0161\u0165ov\u00e1n\u00ed podn\u00e1jemn\u00edk\u016f, tedy n\u00e1rok na n\u00e1hradu za v\u00fdhodu z\u00edskanou p\u0159evzet\u00edm z\u00e1kaznick\u00e9 z\u00e1kladny nem\u00e1. <\/p>\n\n<h2 class=\"wp-block-heading\"><\/h2>\n\n<figure class=\"wp-block-table\"><table class=\"has-background has-border-color has-fixed-layout\" style=\"background-color:#f5fef0;border-color:#f5fef0;border-width:20px\"><tbody><tr><td><strong><strong>Doporu\u010den\u00ed pro praxi<\/strong><\/strong><br\/><strong> <\/strong><br\/>Samotn\u00e1 existence z\u00e1kaznick\u00e9 z\u00e1kladny ov\u0161em nen\u00ed jedinou podm\u00ednkou pro vznik <strong>n\u00e1roku na n\u00e1hradu za z\u00edskanou v\u00fdhodu<\/strong> \u2013 v\u017edy je t\u0159eba zkoumat dal\u0161\u00ed okolnosti (zejm\u00e9na dobu trv\u00e1n\u00ed n\u00e1jmu, p\u0159edm\u011bt \u010dinnosti nov\u00e9ho n\u00e1jemce apod.) <br\/><br\/>Na z\u00e1v\u011br je t\u0159eba zd\u016fraznit, \u017ee \u00a7 2315 ob\u010dansk\u00e9ho z\u00e1kon\u00edku je ustanoven\u00edm dispozitivn\u00edm, od n\u011bho\u017e se smluvn\u00ed strany mohou odch\u00fdlit. Praktick\u00e9 doporu\u010den\u00ed se li\u0161\u00ed v z\u00e1vislosti na postaven\u00ed ve smluvn\u00edm vztahu. Pronaj\u00edmatel bude logicky po\u017eadovat toto ustanoven\u00ed ve smlouv\u011b zcela vylou\u010dit.
